We are looking for a Senior Counsel – Corporate/M&A to act as a trusted legal advisor to business leaders in numerous corporate and business unit functions and support ADP’s investment and corporate development activities, corporate financing activities, federal securities law compliance, domestic and international benefit programs, and the responsible commercialization of data. The ideal candidate must be client service-focused, detail-oriented and have the diplomatic presence to collaborate with all levels of the organization, and multiple ADP stakeholders and legal professionals.

This role will be based in Roseland, NJ , working in in a hybrid work environment working in the office 3 days a week and the flexibility of working from home 2 days a week.

What you’ll do: Responsibilities

  • Legal support for ADP Ventures, Corporate Development and M&A . ADP Ventures is ADP’s incubator that explores new opportunity areas, rapidly designs, and tests innovative concepts and brings the most game-changing ideas to market. You will serve as legal advisor to ADP Ventures, supporting investment activity, including diligence and diligence reporting, and negotiation of investment documents. You will also support ADP’s domestic and international mergers & acquisitions and disposition transactions, including legal diligence, coordination of cross functional workstreams, management of external counsel, advising on transaction-related legal issues and transaction documentation.

  • Federal Securities Law Compliance . Provide legal support for ADP’s public-company reporting and disclosure obligations, including annual, quarterly and periodic reporting (10-K, 10-Q, 8-Ks). Involvement in the oversight and development of corporate policies related to compliance with U.S. federal securities laws.

  • Counsel Corporate and Functional Teams across a wide variety of financing and other matters, including bond transactions, credit facilities, complex commercial transactions, and domestic and international equity and benefit plans. Provide advice on a wide variety of legal subjects to all levels of management.

  • Partner with ADP Data Solutions . Serve as legal advisor to ADP Data Solutions, supporting the development, commercialization and distribution of ADP's data-driven products and services. Advise business on legal issues relating to use of data; product development; data licensing; and emerging regulatory requirements. Partner closely with stakeholders to enable innovative data-based solutions while appropriately managing legal and regulatory risk.

Qualifications:

  • Bachelor's degree and law degree (Juris doctorate). Admission to a state bar association is also required and ability to receive license to practice law in-house in NJ

  • At least 6 years of dedicated practice to M&A

  • Experience with minority investments and compliance with the U.S. federal securities laws.

  • Consummate team player with excellent judgment

  • Excellent communication and interpersonal skills required

  • Ability to handle multiple assignments, work under pressure and manage major projects to successful completion

  • Must be a motivated self-starter, analytical, detailed oriented and possess good organizational skills

  • Experience working with senior executives, and comfortable engaging with all levels of our organization.

  • Some travel may be required

Base salary offers for this position may vary based on factors such as location, skills, and relevant experience. Some positions may include additional compensation in the form of bonus, equity or commissions. The compensation for this role is USD $141,900.00 - USD $349,500.00 / Year*

*Actual compensation will not be less than the applicable minimum wage or minimum exempt salary requirement under federal, state and local laws.
