Description

We are looking for an experienced Business Attorney to join an established and reputable legal team in Napa, California. This role offers the opportunity to work on a variety of sophisticated business transactions, providing tailored and effective legal solutions to clients ranging from regional businesses to multinational corporations. The ideal candidate will bring a wealth of expertise in corporate law and a commitment to delivering exceptional client service. Responsibilities:

  • Provide legal counsel on business formation, transaction structuring, and compliance with relevant regulations.

  • Draft, review, and negotiate contracts, shareholder agreements, and other legal documents.

  • Assist clients in mergers and acquisitions, securities offerings, and private placements.

  • Collaborate with estate planning professionals on succession planning matters.

  • Conduct analysis of debt structures and advise on banking and credit facilities.

  • Develop practical solutions to complex legal challenges for clients in various industries.

  • Represent clients at local, national, and international levels in business-related matters.

  • Ensure compliance with corporate governance standards and regulatory requirements.

  • Support clients in the development of equity incentive plans and other financial agreements.

  • Stay updated on legal trends and apply insights to improve client outcomes.

Requirements • Juris Doctor (JD) degree with active membership in the state bar.

  • Minimum of 5 years of experience practicing business law, ideally within a law firm.

  • Strong expertise in entity formation, mergers and acquisitions, and corporate contracts.

  • Excellent drafting, negotiation, and communication skills.

  • Proven ability to manage complex legal transactions and deliver results in a fast-paced environment.

  • Familiarity with securities offerings, private placements, and succession planning is highly desirable.

  • Demonstrated ability to work collaboratively with multidisciplinary teams.

  • Commitment to providing client-focused and cost-effective legal solutions.
