Description

SUMMARY:

Privately-held transportation company in Jacksonville, FL is seeking a motivated Paralegal to join the in-house legal team in Jacksonville, FL. Ideal candidate will have 8+ years of experience and be a self starter, willing to take on varied tasks, including general corporate legal, litigation and transactional support to attorneys in the legal department and assists with document review, drafting, execution, integration and monitoring of contracts, subpoenas, litigation holds, board matters, litigation, bill review, and special projects.

RESPONSIBILITIES:

  • Assist attorneys in preparing integral corporate documents/materials, including direct assistance and experience with litigation matters

  • Assist with corporate matters, including contract management, signature pages and resolutions

  • Maintain and coordinate tracking and organizational materials, litigation files and databases

  • Assist in coordination and conducting of research and diligence efforts, and where applicable, and summarizing key findings

  • Prepare, distribute and manage preservation notices for threatened and pending claims and litigation

  • Perform e-discovery collections, searches and first round reviews

  • Assist with board matters and materials, including consents

  • Coordinate subpoena responses

  • Review legal invoices for compliance against billing guidelines

  • Assist in contract management, including database management and initial drafts of template/standard form agreements and revising to reflect comments

  • Work with lawyers to prepare all documents required to form corporations, partnerships and limited liability companies, if required• Interact with outside counsel

  • Maintain database of subsidiaries and draft minutes and resolutions, as needed

  • Coordinate registrations and withdrawals of subsidiaries with registered agent

  • Assist with acquisitions, including inputting data in the database used by the global integration team, coordinating information gathering across various cross-functional teams and managing project action items

  • Comprehension and organization of a wide variety of complex materials, ability to identify the relevant material, and to draft high quality communications, education, and other materials for use internally and externally with colleagues and counterparties

REQUIRED SKILLS AND/OR EXPERIENCE:

  • Ability to comprehend and support work on complex regulatory and business problems

  • Motivated self-starter with ability to work independently and excel at multi-tasking in a fast paced environment.

  • Strong project management skills

  • Maintain confidentiality and exercise a high standard of judgment and discretion

  • Superior time management, planning, and organizational skills

  • Strong judgment, analytic capabilities and written and oral communication skills.

  • Must have the ability to analyze what is needed, find the information requested and respond promptly while also paying attention to detail

  • Exceptional interpersonal skills with proven experience in relationship building and partnering

  • Proficient in performing research

  • Proficient in MS Office products, AI and database tools

REQUIRED EDUCATION AND/OR CREDENTIALS:

  • Proven experience as corporate paralegal with a major law firm or company; large firm and in-house experience a plus

  • Bachelor’s degree
