We’re looking for a Corporate Paralegal & Legal Program Manager to support a lean, fast-moving Legal function and report directly to the General Counsel. You’ll manage corporate compliance activities and coordinate closely with our legal teams, operations and electrification teams, and finance to keep a multi-state, multi-entity company in good standing, and you’ll run projects that help Legal deliver and the business scale: complex transactions, corporate governance, outside counsel and vendor management, legal budget and reporting, and cross-functional initiatives. This is a builder’s role. You’ll bring structure where needed, and you’ll be the go-to person the GC and the business count on to keep things moving.

This is a high-volume, fast-paced environment with a lean team. If you like owning your lane, juggling many workstreams, and making the legal function run better, keep reading.

This role is based at the Company’s headquarters in Redwood Shores, CA and requires you to be onsite 3x/week (Monday, Tuesday, and Thursday).

Key Responsibilities

Corporate Governance & Entity Management: Maintain the corporate records for Zum and its subsidiaries: minute books, board and stockholder consents and resolutions, cap table support, and corporate level entity controls, signature and delegation policies, and other policy compliance activities. Prepare materials for board and committee meetings. Manage entity formation, qualifications, and track annual filing compliance.

Corporate Finance & Grant Compliance: Support complex corporate finance transactions including debt and equity agreements and related negotiations, know-your-customer and diligence processes. Manage closing checklists and signature page logistics for financings.Track compliance with credit agreement and investor-agreement obligations: compliance certificates, financial reporting deliverables, notice requirements, covenant calendars, and consent and approval rights.

Government Relations Support.Track lobbying registrations, periodic lobbying reports, political contribution and gift/ethics compliance, and trade association memberships.

Legal Program & Project Management: Own the Legal team’s project roadmap. Run cross-functional initiatives from kickoff through completion, such as policy rollouts, contract and records refreshes, diligence and audit responses, and new-market or new-entity launches. Set priorities with the GC, track deliverables, and report status.

Outside Counsel & Vendor Management: Manage the outside counsel roster, engagement letters, and rate arrangements. Review invoices against budgets and billing guidelines, track spend by matter and function, and prepare regular legal spend reports for the GC and Finance. Manage legal vendors and subscriptions (e.g., Harvey, e-signature, registered agent, research tools).

Process Improvement: Document and improve Legal’s internal workflows. Build checklists, templates, and dashboards. Identify where automation and AI tools (e.g., Harvey) can remove manual work, and support Legal's AI governance, including vendor evaluation, data handling review, and usage guidelines for tools like Harvey.

Department Administration: Manage the Legal budget tracking, department metrics, the knowledge base and self-service resources for the business.

Required Qualifications

  • 5+ years of experience as a corporate paralegal or similar role in a law firm or in-house.

  • Hands-on experience with corporate governance and entity management (minute books, consents, Secretary of State filings, multi-state qualifications)

  • Experience with debt or equity financings from the paralegal side (closing checklists, officer's certificates, UCC/lien searches, consents).

  • Demonstrated ability to exercise judgment on routine matters and escalate appropriately to the GC or inhouse attorneys.

  • Demonstrated ability to manage multiple projects and deadlines at once with minimal oversight
