Full job description

Description

Join AWS to shape the future of cloud and AI infrastructure by advising on transformative energy and water transactions that power our global expansion. You'll work on complex, high-value deals—many of them first-of-kind—while supporting our commitment to reach net-zero carbon by 2040 through one of the world's largest renewable energy procurement programs.

Key job responsibilities

  • Structure, draft, and negotiate complex energy project agreements including power purchase agreements, utility special contracts, and power generation and interconnection arrangements

  • Provide legal counsel on the interaction between deal structures, grid interconnection processes, and regulatory requirements in the energy sector

  • Lead transactions from initial concept through closing, managing multiple workstreams and coordinating with internal and external stakeholders

  • Support AWS's renewable energy procurement program by advising on transaction structures, risk allocation, and compliance with applicable energy regulations

  • Collaborate with business development, infrastructure, and sustainability teams to identify legal solutions that advance both business objectives and climate commitments

A day in the life

As a Corporate Counsel on our Energy & Water Legal team, you'll take the lead on structuring, drafting, and negotiating complex energy project agreements including utility special contracts, power purchase agreements, and power generation and interconnection arrangements. Your work will span multiple deal phases—from initial concept through closing—where you'll analyze how deal structures interact with grid interconnection processes and evolving energy regulations. You'll collaborate with our business development, infrastructure, and sustainability teams to navigate the technical and legal complexities of energy transactions. Some days you'll be deep in contract language; other days you'll be advising stakeholders on regulatory implications or exploring innovative deal structures that haven't been tried before.

About the team

We are a dedicated legal team supporting AWS's rapid expansion into energy procurement and infrastructure development. Our mission is to enable AWS to build the cloud and AI infrastructure our customers depend on while advancing our Climate Pledge commitment. We work closely with business partners across AWS to structure deals that are not only legally sound but also innovative and scalable. You'll join a collaborative group of attorneys and business professionals who are passionate about solving complex problems at the intersection of technology, energy, and sustainability. Together, we're helping to accelerate the global transition to renewable energy while supporting one of the world's most ambitious corporate climate commitments.

Basic Qualifications

  • Juris Doctor and membership in one state bar or equivalent

  • 5+ years of post bar admission legal experience

  • 5+ years of transactional experience in energy, infrastructure, construction, or project financing domains

Preferred Qualifications

  • Experience in energy regulatory matters or proceedings

  • Mix of private practice experience, and experience at a utility, regulator, or power producer

  • Familiarity with grid interconnection processes and transmission planning
