Overview

The Senior Paralegal, Corporate & Legal Operations reports directly to the General Counsel and is primarily responsible for general corporate legal matters including entity management. The role also serves as the Legal Department’s operational lead for legal operations, including e-billing, outside counsel coordination, knowledge and records management, and legal technology.

The incumbent works independently on many matters, partners with Finance, and creates processes and protocols that improve efficiency for the Legal Department and its business partners.

The Senior Paralegal will have regular access to confidential and privileged information, including board, transactional and executive-level matters, and is expected to exercise sound judgment on when to escalate material issues to the General Counsel.

Primary Responsibilities:

  • Manage the corporate entity structure and records, including formations, dissolutions, foreign qualifications, annual reports, registered agent coordination, officer and director appointments, resolutions and written consents, minute books, and the entity chart. Maintain the entity management system and coordinate with outside and local counsel on domestic and international filings to keep all entities in good standing.

  • Serve as the General Counsel’s primary paralegal on general corporate matters, including governance support, contract and transaction support, legal research, drafting and review of legal documents, and coordination with business stakeholders. Manage competing priorities and deadlines and escalate material issues to the General Counsel.

  • Serve as the operational owner of Legal Department operations, including Legal Tracker administration, matter intake and tracking, outside counsel onboarding and billing guideline administration, and invoice review and coding with approval recommendations. Provide matter, budget and invoice data to Finance, which owns spend reporting and forecasting.

  • Maintain Legal Department knowledge management, including forms, templates and internal memoranda, and manage legal records in accordance with retention policies and legal requirements. Serve as the Legal Department’s liaison with IT and recommend improvements to legal technology and processes.

  • Provide cross-functional support within the Legal Department, develop and manage onboarding and training for new team members, and support special projects as needed.

Education and Experience:

  • Level of Formal Education: Bachelor's degree or equivalent experience

  • Area of Study: Paralegal

  • Minimum Years of Experience: 8

  • type of Experience: Corporate/entity management and general corporate legal support; legal operations or e-billing experience preferred

  • Special Certifications:

  • Paralegal certification preferred (e.g., Florida Registered Paralegal, NALA CP/ACP, NFPA PACE, or ABA-approved paralegal program)

  • Technical Competencies & Information Systems:

  • Proficiency with Microsoft Office suite of products.

  • Experience using electronic research tools, such as Westlaw.

  • Experience with case management/e-billings software, such as Legal Tracker , is preferred.

  • Entity management software and legal document/contract management systems; familiarity with Oracle MyCloud and CorpPlan a plus

  • Experience with generative AI use in legal department (e.g. ChatGPT or Claude)

  • Skills & Abilities:

  • Substantive knowledge of corporate law, entity formation and maintenance, and corporate governance practices

  • Ability to handle confidential and privileged matters, including board, transactional and executive-level issues, with sound judgment

  • Ability to work cross-functionally supporting attorneys, Finance, and business leaders across multiple areas of law.

  • Comprehensive computer skills, including proficiency in Excel for tracking and reporting

  • Personal Attributes & Other/Preferred:

  • Excellent oral and written communication skills, effective interpersonal skills and ability to advise all levels of personnel on complex issues.

  • Ability to act with a high degree of integrity, professionalism and maintain confidentiality

  • Strong organizational skills and attention to detail.

Pay, Benefits & Work Schedule: The salary range for this role is $67,900/year to $106,000/year, however all state and local minimum wages will be complied with, resulting in a possible adjustment to the salary range displayed. The company offers competitive salaries, a benefits package, which includes a 401(k) and more, along with plenty of opportunities to move and grow within our organization! You may be eligible to participate in an incentive program, paid in accordance with the Incentive Plan terms and conditions.
