  • Administer the Bank’s insider trading compliance program, including pre-clearance requests, blackout periods, insider lists, communications, and recordkeeping.

  • Conduct initial reviews of routine agreements, including contracts, loan agreements, and nondisclosure agreements, and coordinate stakeholder review, approval, and execution.

  • Maintain corporate governance records and support Board and committee matters, including meeting materials, resolutions, consents, minutes, charters, and governance calendars.

  • Coordinate compliance activities involving directors, executive officers, insiders, affiliates, and related parties under Regulations O and W.

  • Support public-company disclosures under Regulation S-K and other applicable securities requirements in coordination with Legal, Finance, Investor Relations, Human Resources, and Risk.

  • Administer governance and compliance activities for the Bank’s Political Action Committee and New York City lobbying activities, including required bimonthly filings.

  • Manage the Legal Department’s policy governance process, regulatory calendars, trackers, databases, document repositories, and records.

  • Manage designated Legal Department operations, including invoices, expenses, vendors, budget tracking, matter administration, and document management.

  • Partner with cross-functional stakeholders to support legal, governance, regulatory, and business initiatives and monitor assigned deliverables.

  • Identify and implement approved improvements to Legal Department processes, controls, documentation, and technology.

  • Serve as a senior paralegal resource, exercise independent judgment, escalate material issues appropriately, and ensure timely and accurate completion of assigned matters.

  • Perform other duties and responsibilities as assigned by management.

  • Draft and prepare minutes for Board and committee meetings.

  • Demonstrate strong numerical aptitude and proficiency with spreadsheets.

  • Communicate clearly and professionally with executives and senior-level stakeholders.

Knowledge, Skills and Experience Requirements:

  • Bachelor’s degree required; paralegal certificate from an accredited program preferred. An equivalent combination of education and directly relevant experience may be considered.

  • Minimum of ten years of progressively responsible corporate paralegal or comparable legal experience, including substantial experience at a law firm, public company, or regulated financial institution.

  • Advanced knowledge of SEC reporting and public-company disclosure requirements, including Section 16 filings, proxy materials, Regulation S-K, EDGAR filing processes, and related controls and recordkeeping.

  • Demonstrated experience administering insider trading compliance processes, including pre-clearance requests, blackout periods, insider lists, certifications, and related communications.

  • Strong knowledge of corporate governance practices and experience supporting Boards of Directors and committees, including meeting materials, resolutions, consents, minutes, charters, governance calendars, and corporate records.

  • Working knowledge of banking laws and regulations governing directors, executive officers, insiders, affiliates, and related-party transactions, including Regulations O and W.

  • Experience conducting initial reviews of routine commercial agreements, loan agreements, and nondisclosure agreements and coordinating legal review, approval, execution, and retention.

  • Experience supporting political activity, lobbying, policy governance, legal operations, regulatory calendars, matter administration, records management, or related compliance processes preferred.

  • Proven ability to manage complex, time-sensitive matters; maintain accurate and complete records; improve processes and controls; and deliver high-quality work with limited supervision.

  • Exceptional judgment, discretion, and commitment to confidentiality, with the ability to identify and escalate material legal, regulatory, governance, and reputational issues appropriately.

  • Excellent written and verbal communication, analytical, organizational, research, and stakeholder-management skills, with the executive presence to work effectively with senior leaders, Board members, outside counsel, regulators, and cross-functional partners.

  • Advanced proficiency in Microsoft Office and experience with Computershare, EDGAR Next, Intelligize, Workiva, or comparable securities and governance platforms; familiarity with Navan, Prevalent, Salesforce, SixLambda, and Slack preferred.
