Full job description

Description We are looking for an accomplished Assistant General Counsel to provide senior-level legal guidance for a complex organization. This role works closely with executive leadership to address governance, compliance, risk, and strategic business matters across nonprofit, corporate, and government contracting environments. The position is designed for a legal advisor who can translate complicated regulations into practical direction that supports sound decision-making and sustainable growth.

Responsibilities:

  • Advise senior leaders and business stakeholders on significant legal, regulatory, and operational issues affecting organizational strategy and day-to-day decision-making.

  • Evaluate enterprise legal and reputational exposure, then recommend pragmatic actions that reduce risk while supporting business objectives.

  • Create and refine legal policies, contract standards, templates, and internal processes that strengthen consistency, compliance, and scalability.

  • Counsel the organization on nonprofit and tax-exempt governance matters, including board obligations, conflict management, related-party considerations, and applicable compliance rules.

  • Support legal oversight of corporate entities and affiliated structures, including formation matters, governance documentation, intercompany arrangements, and required filings.

  • Provide guidance on government and defense contracting issues such as subcontract relationships, teaming arrangements, intellectual property considerations, and conflict-of-interest concerns.

  • Interpret and advise on trade compliance obligations, including export controls, sanctions requirements, and related international regulatory matters.

  • Partner with teams across Finance, Human Resources, Contracts, IT, and Security to incorporate legal analysis into business planning and operational decisions.

  • Assist with board and committee administration by preparing governance materials, maintaining corporate records, and supporting resolutions and other official actions.

  • Serve as a key member of the legal leadership function by supporting the Chief Legal Officer on high-impact organizational initiatives. Requirements • Juris Doctor from an accredited law school.

  • Active bar membership in good standing in at least one U.S. jurisdiction; Texas admission is preferred.

  • 10+ years of progressively responsible legal experience, including meaningful in-house or equivalent advisory work.

  • Background in the defense sector, government contracting, or legal support for federal agencies or prime contractors is strongly preferred.

  • Knowledge of nonprofit and tax-exempt governance, including experience with 501(c)(3) or 501(c)(6) organizations.

  • Experience supporting multi-entity corporate structures, subsidiaries, affiliates, or related governance frameworks.

  • Strong judgment, communication, and stakeholder management skills, with the ability to deliver clear legal advice in complex environments.

  • High level of professionalism, discretion, adaptability, and the ability to manage multiple priorities effectively.
