Full job description

Duties: Serve as the legal advisor to the executive leadership team and Board of Directors, providing strategic guidance on legal, regulatory, and risk-related matters affecting the organization. Oversee legal functions of the company, including corporate governance, contracts, compliance, litigation, intellectual property, labor and employment, and data privacy. Draft, review, and negotiate a wide range of commercial agreements, including vendor contracts, partnership agreements, and licensing deals. Ensure compliance with applicable federal, state, and international laws and regulations, including SEC, antitrust, employment, privacy, and corporate law. Lead internal investigations and manage outside counsel on litigation and other specialized legal matters. Support corporate transactions, including finance, investments, and strategic partnerships, from due diligence to post-closing integration. Provide counsel on employment-related matters, including compensation, benefits, hiring, and terminations. Monitor changes in relevant laws and regulations and proactively advise business leaders on potential impact and required adaptations. Establish compliance standards, reviewing practices, and advising regional teams in Argentina, Peru, and the United States. NO Direct Reports. Requirements: Must have JD or LLM from an ABA-accredited law school or equivalent, current admission to the BAR in a Belong state (NY, FL, or CA), plus 3 years of experience with real estate and corporate transactional work, including:

  • Corporate general matters and regulatory law, advising companies on incorporations, governance, and compliance matters.
  • Support companies in M&A transactions, due diligence, and corporate reorganizations.
  • Manage corporate filings with the Secretary of State and prepare legal documentation for board and shareholders’ meetings.

Plus one year of the following experience:

  • Legal operations in platforms startups.
  • Data protection and intellectual property agreements.
  • Interpreting and applying jurisdiction-specific landlord-tenant laws across multiple U.S. states
  • Engaging directly with insurance carriers and brokers to manage active claims and resolve disputes.
  • Coordinate alternative insurance coverage options when needed and ensure landlord policies meet contract requirements.

Must speak fluent Spanish.
