Summary:

Consolidated Electrical Distributors, Inc. (CED), one of the country’s largest wholesale electrical equipment distributors with over 800 locations nationwide, has an opening in our Irving, Texas, office for a Corporate Counsel – Commercial. This position will report to the General Counsel. This position will primarily be focused on commercial law but will also include opportunities and responsibilities related to other areas of law and compliance.

Reports to: General Counsel

Minimum Qualifications:

  • Juris Doctorate from an ABA-accredited law school

  • Admitted to the Bar and in good standing (TX Bar preferred, but not required)

  • Ability to provide legal advice to management on significant issues, including the ability to develop, prepare and present legal theories and strategies, and interpret and recommend changes to company policies

  • Ability to gather information, identify trends, and apply findings to assignments while analyzing complex legal information

  • Ability to operate standard office equipment and required software applications, including legal research software

  • Successful candidate must have good references, pass pre-employment drug test, and successfully complete a background check, as well as be willing to participate in pre-employment assessments

ADDITIONAL COMPETENCIES:

  • A strong work ethic and able to prioritize and manage multiple priorities, in a fast-paced, dynamic environment

  • Display a high-level of professionalism, exemplary verbal and written language skills, and an ability to build trust with team members and cross-functional partners

  • Must be service oriented. All Legal Department staff support Field management and, consequently, must demonstrate servant leadership to be successful within CED’s organizational structure

  • Demonstrate a strong sense of integrity and ethics and exhibit good judgment and discretion

Preferred Qualifications:

  • Five years’ experience as a practicing attorney, with a strong preference for emphasis in commercial litigation and/or compliance

  • Knowledge of advanced concepts, principles, and practices of commercial law and regulations across multiple jurisdictions

  • Experience advising and presenting legal theories and strategies to senior corporate management in areas related to commercial law, commercial compliance, and corporate policy related to commercial law and compliance

Essential Job Functions:

  • Commercial Law Advice: Counsel managers nationwide regarding all aspects of commercial practices, including contracting, contracting with government contractors, commercial issues related to the sale of goods and services, and commercial policies and procedures. Be the subject matter expert on legal and regulatory trends related to commercial law and compliance on a national and local level. Responsible for assisting in the supervision of other non-attorney personnel in the Legal Department with respect to commercial law matters.

  • General Legal Advisor: Provide legal advice and services regarding a wide range of substantive legal areas (employment, real estate, insurance coverage, corporate law issues, etc.).

  • Dispute Resolution: Assist management by providing legal advice and representation to negotiate and informally, efficiently and economically resolve disputes involving the company.

  • Litigation Management: Oversee company litigation and manage outside counsel at law firms across the United States related to non-collections, commercial litigation. Expected to complete considerable work internally, especially in litigation avoidance and early resolution to reduce reliance on outside counsel and minimize outside costs.

  • Draft and Prepare Training Materials and Management Tools: Identify the need for and prepare regular training materials (including internal online materials) and other management tools to assist company managers to avoid legal exposure and help ensure compliance.

  • Policy Review and Involvement: Tasked with being aware of, reviewing and helping keep current CED’s commercial law and compliance related policies. Participate in efforts to prepare, implement, and refine commercial practices, policies, guidelines, tools, and programs that align with the company’s strategy, values, and goals.

  • Other Duties: Handle all other duties as assigned, including assisting other departments, particularly those that report to the company’s General Counsel such as Personnel Assessment.
