Mergers & Acquisition Analyst II

Work Mode: Hybrid

**Location: ** Hybrid - flexible, with ability for frequent travel to Kohler, WI required

Opportunity

The M&A Analyst II supports the evaluation and execution of mergers and acquisitions, venture investments, and other strategic transactions. The role performs rigorous financial analysis, develops valuation models, prepares transaction materials, and helps coordinate the detailed work required to move deals from initial assessment through closing, as well as through the first few years of integration.

Working under the Sr. Manager, Mergers & Acquisitions and the M&A Senior Analyst, this individual partners with business leaders, functional experts, and external advisors throughout the transaction lifecycle. Success requires strong quantitative ability, intellectual curiosity, sound judgment, exceptional attention to detail, and the capacity to deliver accurate work across multiple priorities in a fast-paced environment.

Specific Responsibilities

Financial Analysis & Valuation

  • Build and maintain detailed financial models, including discounted cash flow, comparable company, precedent transaction, leveraged buyout, merger, accretion and dilution, and other transaction analyses.

  • Analyze historical financial performance, management projections, operating assumptions, capital structures, debt and equity filings, and other company and market information.

  • Prepare valuation ranges, transaction scenarios, sensitivities, pro forma financial impacts, and returns analyses to support investment decisions.

  • Conduct company, industry, market, and transaction research using internal and external information sources.

Transaction Execution

  • Support buy-side and sell-side M&A, venture investments, financing activities, and other strategic transactions from initial evaluation through signing and closing.

  • Maintain transaction workplans, process materials, data requests, meeting schedules, approval materials, deliverable trackers, and follow-up items across active deals.

  • Coordinate with investment banks, attorneys, accounting and tax advisors, consultants, potential buyers and sellers, founders, and other transaction parties.

Due Diligence & Documentation

  • Support financial, commercial, operational, product, supply chain, technical, legal, intellectual property, regulatory, human resources, tax, and other due diligence workstreams.

  • Organize diligence information, analyze findings, identify key issues, and escalate risks, opportunities, dependencies, and open questions to the deal team.

  • Assist with the preparation and review of transaction documents, diligence reports, disclosure materials, internal approvals, and closing deliverables alongside internal and external counsel.

Presentations & Team Collaboration

  • Prepare accurate, executive-ready presentations, reports, company profiles, industry analyses, benchmarking materials, and recommendations for senior leadership and the Board of Directors.

  • Create materials addressing strategic alternatives, valuation, transaction rationale, financing considerations, capital markets activities, industry developments, and key deal risks and opportunities.

  • Work closely with the Sr. Manager, Mergers & Acquisitions, the M&A Senior Analyst, business leaders, and cross-functional teams to execute projects, communicate updates, and complete high-quality analyses and deliverables.

Skills/Requirements

  • Bachelor’s degree required, with a strong academic record and quantitative background in finance, accounting, economics, business, mathematics, or a related field.

  • Prior experience in investment banking, private equity, corporate development, transaction advisory, valuation, financial planning and analysis, or another highly analytical field preferred.

  • Demonstrated knowledge of financial statements, accounting concepts, corporate finance, and valuation fundamentals.

  • Strong financial modeling and analytical skills, including proficiency with discounted cash flow, comparable company, precedent transaction, merger, and leveraged buyout analyses.

  • Advanced proficiency in Microsoft Excel and PowerPoint, with the ability to produce accurate, well-structured models and executive-ready presentations.

  • Strong comfort with AI-based tools.

  • Excellent research, problem-solving, written communication, verbal communication, and presentation skills.

  • Ability to manage multiple assignments, meet demanding deadlines, maintain confidentiality, and deliver consistently accurate work with exceptional attention to detail.

Preferred Qualifications

  • Experience supporting M&A, equity or debt financing, due diligence, valuation, or transaction execution processes.

  • Strong team orientation and demonstrated ability to collaborate across functions, groups, and regions while building trusted working relationships.

  • High level of initiative, intellectual curiosity, personal integrity, professional maturity, motivation, resilience, and commitment to high-quality work.

This means you’ll have access to your applicable benefit programs from your first day on the job, with no waiting period. The salary range for this position is $83,550 - $127,550. The specific salary offered to a candidate may be influenced by a variety of factors including the candidate’s experience, their education, and the work location. In addition, this position is eligible for a performance bonus/variable incentive compensation.
