Legal Counsel

As part of the Legal Team, you will provide strategic and practical legal support across corporate, commercial, and strategic transactions while partnering with various business functions to manage legal risks and enable business growth.

What will you do?

• Provide legal advice and support on a broad range of corporate matters, including corporate governance, corporate actions, restructuring, shareholder matters, and intra-group arrangements.
• Advise management and business functions on legal risks, regulatory requirements, and appropriate mitigation strategies.
• Act as a business partner to commercial, sales, marketing, procurement, supply chain, finance, HR, and other functions.
• Review and negotiate a broad range of commercial agreements, including distribution, supply, procurement, logistics, services, licensing, marketing, sponsorship, and strategic partnership agreements.
• Identify legal and contractual risks while maintaining a practical and commercially viable approach.
• Provide legal support on matters involving capital markets, securities regulations, and corporate transactions, with an understanding of the Indonesian regulatory environment.
• Support transactions involving fundraising, investments, divestments, restructuring, and other strategic corporate actions.
• Lead and/or support M&A transactions, including acquisitions, disposals, joint ventures, investments, and strategic partnerships.
• Manage legal due diligence processes, including identifying material legal risks, liabilities, contractual exposures, regulatory issues, and potential deal breakers.
• Support the development and implementation of appropriate legal policies, procedures, and controls.
• Lead, mentor, and develop members of the legal team, fostering a high-performing and business-oriented legal function.

What are we looking for?

• Bachelor's degree in Law (S.H.) from a reputable Indonesian university; additional legal qualifications are an advantage.
• Min of 8 years of relevant legal experience, preferably with a combination of reputable law firm and/or in-house experience.
• Strong experience in corporate law and commercial transactions.
• Demonstrated experience handling M&A transactions and legal due diligence.
• Good understanding and practical exposure to capital markets and securities-related matters.
• Experience managing litigation and dispute resolution matters.
• Experience in the FMCG, consumer, retail, manufacturing, distribution, or other fast-paced industries is highly desirable.
• Experience working directly with senior management and cross-functional business stakeholders.
• Prior experience managing or leading a legal team is strongly preferred.
• Indonesian Advocate qualification is an advantage.
