Job Summary

Performs a variety of legal work and participates in the performance of complex legal analysis in both general and transactional legal work, including such areas as procurement, business transactions, contract drafting and review, organizational and corporate governance, legal research, policy review, and general compliance issues.

Responsibilities

Anticipates, identifies, and resolves legal issues in both transactional legal work and on a variety of general legal issues, including non-profit and for-profit corporate governance issues. With respect to transactional work, drafts, reviews, negotiates, and advises on contracts involving software licenses, data use and protection, intellectual property licenses (in-licensing and out-licensing arrangements), purchases, professional services, research, and related matters. With respect to general legal issues, advises University leaders on proposed institutional initiatives and contractual arrangements between the University and its non-profit supporting organizations, as well as compliance with policies and laws applicable to the University as a public institution. Drafts, reviews, and advises on policies and procedures, regulations, bylaws, and other documents. Educates and trains University community members about legal issues. Conducts and supervises legal research and analysis. Prepares written and verbal legal advice and opinions of counsel as needed. Coordinates legal services to departments and divisions within areas of legal specialty. Supervises support staff, more junior attorneys, and outside counsel on a project basis.

Minimum Qualifications

Juris Doctor from an accredited law school and admission to Utah State bar association required. Demonstrated organizational, effective verbal/written communication and human relations skills also required.

An excellent academic record and related experience preferred.

This position is not responsible for providing patient care.

Preferences

Two or more years of experience in private or university-based law practice preferred (judicial clerkship can substitute for one or more years of practice). Experience in transactional law, including end-to-end negotiation of complex agreements, federal and state securities laws; mergers, acquisitions and other corporate transactions; public-private partnerships and joint ventures; tax law, particularly in relation to tax-exempt organizations; general principles of federal and state intellectual property laws; legislative processes; and/or higher education operations is useful.
