Description:

SPS Commerce is a leading provider of cloud-based supply chain management solutions, serving a global network of retail trading partners. We foster a collaborative and inclusive work environment where innovation and continuous improvement are highly valued. Join SPS Commerce and be part of a dynamic team that's transforming the global retail supply chain!

Position Summary:

As a Corporate Attorney on our Legal team, you will own the preparation, review, and negotiation of contracts, nondisclosure agreements, and data processing agreements, while providing legal guidance to teams across the organization - including Information Security, Technology, and Product. You'll serve as the company's primary legal resource on data privacy, AI governance, and corporate compliance, and partner closely with the General Counsel on strategic transactions and special projects. This is a highly collaborative, fast-paced role with a high level of responsibility and direct interaction with both customers and internal stakeholders.

What You'll Do:

  • Drive resolution for contract review, negotiation, questions, and change requests, working proactively with internal departments to resolve requests in a timely and professional manner

  • Collaborate with the business to understand its direction and apply that understanding to improvements or modifications to existing forms, materials, and processes to maximize efficiency and mitigate risk

  • Update all standard contracts and forms including customer sales order templates in Salesforce and purchasing templates, and partner with Procurement on vendor contracts through the contract lifecycle management (CLM) system

  • Own the company's privacy program end-to-end, including compliance with CCPA, GDPR, cross-border data transfer requirements, and emerging U.S. state privacy laws, and lead negotiation of data processing agreements (DPAs) with customers and vendors

  • Lead AI governance for the organization, developing risk frameworks and acceptable-use standards for AI tools and generative and agentic AI systems, and advising Product and Engineering on data use, output liability, IP, and regulatory alignment

  • Build, deploy, and continuously refine AI-powered tools that streamline review and negotiation of customer contracts, NDAs, vendor agreements, and DPAs, driving measurable gains in team productivity

  • Serve as primary legal partner to Information Security on data governance, vendor risk, and incident and breach response

  • Support corporate and strategic transactions including M&A integration

  • Execute special projects as requested by the General Counsel

Where You'll Work:

This role is hybrid out of our headquarters in Minneapolis, MN about 2x a week. We Succeed Together through in-person collaboration, balanced with remote work to provide flexibility.

What You'll Bring:

  • J.D. and active Minnesota license to practice law required, with 7+ years of in-house and/or law firm experience

  • Knowledge of contract law, privacy law, and corporate law as would normally be acquired through successful experience in a similar position

  • Working knowledge of privacy and data protection law including CCPA and GDPR, and experience negotiating data processing agreements

  • Familiarity with AI governance principles and emerging legal issues associated with generative and agentic AI

  • Excellent organizational skills and attention to detail with ability to manage competing priorities and demands with minimal supervision

  • Ability to communicate and negotiate effectively verbally and in writing

  • Prior customer service and/or project management experience or a combination of equivalent education and experience

  • Demonstrated knowledge of Microsoft Office including Word, Excel, PowerPoint, and Outlook

  • Experience with SaaS contracts preferred

  • Salesforce.com and contract lifecycle management (CLM) platform experience, and experience with AI-powered contract review and negotiation tools preferred

  • Experience with privacy program management tools and DPA negotiation preferred
