ROLE OVERVIEW

We are seeking a Commercial Counsel based in Amsterdam (hybrid office and WFH) to support a high volume of commercial transactions across our Sales, Channel/Alliances, and Customer Success teams. This role is well-suited for someone with a few years of experience in SaaS or technology contracting who is looking to deepen their in-house experience in a fast-paced, high-growth environment.

You will work closely with go-to-market teams to review, negotiate, and close standard commercial agreements, with a focus on efficiency, consistency, and enabling deal velocity. While you’ll primarily support recurring deal patterns (NDAs, MSAs, DPAs, and order forms), you’ll also gain exposure to more complex customer and partner agreements over time.

This is a role with room for fast growth and a hands-on, business-facing role where you’ll build strong relationships with Sales and cross-functional partners, develop practical judgment, and contribute to improving templates and processes as the company scales.

WHAT YOU’LL DO

COMMERCIAL TRANSACTIONS

  • Draft, review, and negotiate a high volume of commercial agreements, including:

    • NDAs, SaaS subscription agreements (MSAs), order forms, and DPAs

    • Evaluation and trial agreements

  • Support Sales and Customer Success teams in closing deals efficiently while aligning with company risk guidelines

  • Review and respond to customer contract requests, including redlines on standard agreements and occasional customer paper

DEAL SUPPORT & EXECUTION

  • Partner closely with Sales and RevOps to keep deals moving and unblock contract-related issues

  • Help balance speed and risk by providing clear, practical guidance to non-legal stakeholders

  • Escalate more complex or non-standard issues appropriately

TEMPLATES & PROCESS IMPROVEMENT

  • Use and help maintain standard templates, clause libraries, and negotiation guidelines

  • Contribute to improving contract workflows and processes to support a high-volume sales environment

  • Identify recurring issues and help drive consistency in how they’re handled

CROSS-FUNCTIONAL COLLABORATION

  • Work with internal teams (Sales, RevOps, and Security/Privacy) to ensure contract terms align with our business and product

  • Provide clear, concise guidance on common contract terms and when to involve Legal

  • Support internal enablement efforts by helping stakeholders better understand standard terms and processes

What We’re Looking For

REQUIRED QUALIFICATIONS

  • Law degree from an accredited law school

  • 3–5+ years of relevant experience at a law firm and/or in-house, with a strong focus on commercial technology transactions preferred.

  • Excellent contract drafting, negotiation, and communication skills, with the ability to give succinct, actionable advice to non-lawyers in English.

  • Demonstrated ability to manage multiple deals and priorities in a fast-paced, high-growth environment.

  • Comfort leveraging AI and legal tech tools to streamline drafting, review, and knowledge management and take a forward approach to developing AI playbooks, workflows and agents in collaboration with our Legal ops team.

PREFERRED QUALIFICATIONS

  • Experience in house legal within SaaS

  • Experience supporting channel, MSP/MSSP, or distributor models.

  • Familiarity with international contracting issues (e.g., cross-border data transfers, GDPR basics, export control).

  • Comfort leveraging AI and legal tech tools to streamline drafting, review, and knowledge management.

  • English fluency required. German fluency strongly preferred.

  • Prior work with a cybersecurity company a plus.

  • Base salary range: €93,000 - €110,000 annually. The exact salary will be determined based on the selected candidate’s location, qualifications, experience, and relevant skills.

  • Additional compensation: All full-time roles are eligible for an equity package in the form of stock options.
